I think the market that went after Xbox will be the same ones who go for Steam machine mostly. Everyone else will revert back to Playstation and Nintendo will limp along as usual doing their own thing. Sega actually has more than IP worth buying the have infrastructure and they have factories as well as development teams that could benefit Nintendo. Rare would just be the IP. If they went after the entire Xbox division it would benefit them to get their hands on the infrastructure and Live but this new deal sounds like their way of going forward in that direction anyways.

What value is there for Nintendo to buy the Xbox division?  I supposed they would get a console that is doing better than their own but how long would that help?
We've been over this numerous times. The value is in assets: the patents and technology that Microsoft has accrued would be the only point of acquiring the Xbox division. No company, especially Nintendo, would thank its lucky stars it got hardware mid-generation. Any company would hVe to live with Microsoft's mistakes until a new product could be put together and released. That's far from an ideal situation.

Nintendo bought Fatal Frame (and did squat for us with it), as well as having Baten Kaitos brought in house.

The chief things Nintendo would want out of Microsoft would be the talent and the patents. The former would flee so fast it'd make your head spin, and the latter would stay locked in the Microsoft vault to be trotted out if they wanted to sue somebody.

What Nintendo needs is a competent American wing. I'm sure Nintendo would look more attractive if they owned Halo, Gears of War, and Metroid.

They have Mario vs. Donkey Kong Co. Ltd., aka NST. Also there are studios like Next Level and Monster, who they don't technically own but work with almost exclusively.
